New Requirement – Submission of a Board Resolution for Alien Employment Permit Applications

The Department of Labour and Employment (“DOLE”) has issued an Advisory No. 19-06 on 23 August 2019 requiring the submission of a Board Resolution as part of the requirements for issuance of an Alien Employment Permit (“AEP”).

Who will be affected?

  • Foreign nationals who will engage in gainful employment in the Philippines and will require an AEP
  • Foreign nationals who will apply for the renewal of their current AEP


Background

The DOLE has been receiving reports that there are fraudulent documents being submitted to support the AEP applications of foreign nationals who will be working in the Philippines. As a result, the authorities now require the submission of a Board Resolution which authorizes a signatory of a company to sign the employment contract and all other documents for AEP applications.  The authorized signatory should be in a managerial level position of the company who will sponsor the foreign national.

Companies can be exempted in the submission of this new requirement if the signatory of all the documents is the President and/or Corporate Secretary of the Corporation.

In addition, DOLE should be informed immediately of any changes in the authorized company signatory and his/her position as indicated in the submitted Board Resolution.

Impact
Sponsoring companies will be required to prepare a Board Resolution which will require the attendance of the majority of all the Board of Directors to decide and approve the designation of the authorized signatory for AEP applications. This will likewise require additional time to be completed and signed by the Board of Directors.

Implementation

Compliance of this new requirement is effective on 2 September 2019.
